This Tutor Luna Service Agreement (the "Agreement") is entered into by and between you (hereinafter referred to as the "User") and Tutor Luna (hereinafter referred to as "Tutor Luna," "we," "us," or "our"). This Agreement shall be legally binding upon both parties.
Please read this Agreement carefully in its entirety. In particular, you should pay close attention to the provisions highlighted in bold, which may materially affect your rights and interests, including but not limited to provisions concerning our liabilities, your rights, dispute resolution, and governing jurisdiction. If you believe that any such provisions may adversely affect your rights or interests, please review them carefully before deciding whether to accept this Agreement.
By accessing or using any Tutor Luna products and/or services (as defined in Section 1 below, collectively referred to as the "Services"), including but not limited to downloading, installing, launching, browsing, registering for, or logging into the Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree to any provision of this Agreement, you must immediately discontinue using the Services.
The operating instructions, FAQs, user guides, help documentation, rules, procedures, and any other information displayed on the Tutor Luna platform (the "Platform") constitute an integral part of this Agreement and shall have the same legal effect.
If you are a minor, you must read this Agreement under the supervision of your legal guardian and obtain your guardian's consent before using the Services. In particular, please carefully review the provisions relating to minors. Any exercise of rights or performance of obligations under this Agreement by a minor shall be deemed to have been authorized and approved by the minor's legal guardian.
"Tutor Luna" refers to the corporate group consisting of Wuhan Ace Education Technology Co., Ltd. and its affiliated companies.
"Affiliated Companies" refer to any entity that currently or in the future directly or indirectly controls, is controlled by, or is under common control with Wuhan Ace Education Technology Co., Ltd. "Control" means the ability to directly or indirectly influence the management or operations of another entity through ownership, voting rights, contractual arrangements, operational relationships, or any other lawful means.
This Agreement applies to all Tutor Luna products and/or services, including but not limited to:
The Tutor Luna Platform includes, without limitation, websites, software applications, hardware clients, and other platforms directly owned or operated by Tutor Luna.
Supported user devices include personal computers, mobile devices, tablets, and other compatible terminals.
"User" includes both registered users and non-registered users.
Any person who uses the Services without registering an account shall be deemed a non-registered user and shall comply with all provisions of this Agreement except those that expressly apply only to registered users.
Because different Tutor Luna products or services may contain different functions or features, this Agreement serves as a general user service agreement.
Certain specific products or services may be governed by separate Specific Service Agreements, which you must read and accept before using the relevant products or services.
If you access products or services provided by third parties through the Platform, you must comply not only with this Agreement but also with the applicable terms and conditions of such third parties.
You may register a Tutor Luna account using your mobile phone number.
After successful registration, you may also log in to products and/or services provided by Tutor Luna's cooperating companies using verification codes sent to your registered mobile phone number, subject to the applicable account usage rules.
When registering an account, you must provide complete, authentic, accurate, and up-to-date information as requested.
You shall not impersonate another person or use another person's mobile phone number or identity information without authorization.
If your registration information changes, you must update it promptly.
Information associated with your account, including but not limited to your username, avatar, and profile description, shall not contain any unlawful or inappropriate content.
Accounts may only be registered through official channels designated by Tutor Luna.
You shall not obtain an account through unauthorized means, including but not limited to purchasing, renting, borrowing, impersonating another person, sharing accounts, or exploiting vulnerabilities in the registration system.
Any account obtained through such unauthorized means shall be deemed invalid. Tutor Luna reserves the right to delete, suspend, terminate, or reset such accounts immediately without prior notice, and you shall bear all resulting consequences.
All Tutor Luna accounts remain the exclusive property of Tutor Luna.
You are granted only a limited, revocable, non-commercial right to use your account.
Except as otherwise required by applicable law or expressly agreed by the parties, you shall not transfer, assign, lease, lend, sell, share, or otherwise permit any third party to use your account.
You are solely responsible for all activities conducted through your account.
You must properly safeguard your account credentials and take reasonable measures to maintain their confidentiality.
Except where losses result directly from Tutor Luna's legal fault, you shall bear all risks arising from loss, disclosure, unauthorized access, alteration, theft, or misuse of your account.
You shall not transfer, lease, lend, sell, or otherwise permit any third party to use your account.
If you discover that your account has been accessed without authorization or that you are unable to log in due to abnormal circumstances, you should promptly recover your account through Tutor Luna's official account recovery procedures.
You must provide truthful and valid verification information. Failure to do so may result in unsuccessful identity verification.
To protect account security, Tutor Luna may periodically or from time to time verify your identity through SMS verification codes or other authentication methods.
If you fail to complete the required verification, and Tutor Luna reasonably believes that your account presents a security risk, Tutor Luna may suspend or terminate your access to the Services without liability.
Tutor Luna reserves the right to suspend or permanently terminate your account, reclaim your account, or suspend or terminate the provision of the Services without liability if:
Unless otherwise required by applicable law or provided in this Agreement, you may delete your account by submitting an online request, contacting customer service, or using any other officially announced method.

When using the Services, you shall comply with all applicable laws, regulations, and regulatory requirements, including but not limited to the Cybersecurity Law of the People's Republic of China, the Regulations on the Protection of the Right of Communication through Information Networks, and other applicable laws.
You shall also observe public order, social morality, and accepted standards of online conduct. You shall not engage in any activity that may compromise network security, endanger national security, disseminate unlawful information, or infringe upon the lawful rights and interests of others.
If Tutor Luna reasonably determines that you have engaged, or are likely to engage, in any of the foregoing activities, Tutor Luna may immediately suspend or terminate your access to the Services without prior notice. You shall bear all resulting legal consequences and shall indemnify Tutor Luna for any losses incurred as a result of your conduct.
The Services may only be accessed through the Tutor Luna Platform or other platforms expressly authorized by Tutor Luna.
You shall not separate the Services from the Platform through unauthorized means, including but not limited to reverse engineering, decompilation, decoding, screen recording, protocol analysis, or any other unauthorized technical methods.
Any products or services obtained through such unauthorized means shall not be deemed Tutor Luna Services under this Agreement. Tutor Luna reserves all rights to pursue legal remedies, including claims for infringement and damages.
Unless otherwise required by applicable law or expressly agreed by the parties, Tutor Luna grants you a limited, personal, non-exclusive, non-transferable, revocable, time-limited license to use the Services solely for your own personal and non-commercial purposes.
No ownership or other intellectual property rights are transferred to you.
The quality and availability of the Services may be affected by internet bandwidth, network latency, telecommunications infrastructure, or other network conditions beyond Tutor Luna's reasonable control.
Accordingly, buffering, delays, interruptions, or similar issues may occur during your use of the Services. Such issues shall not constitute a breach of this Agreement by Tutor Luna.
To improve user experience, Tutor Luna may implement technical measures including, but not limited to, Content Delivery Network (CDN) optimization, Hybrid CDN (HCDN), peer-to-peer networking technologies, and other performance enhancement solutions.
The Services require internet access.
You shall be solely responsible for all internet access fees, mobile data charges, telecommunications fees, and other communication expenses incurred through your use of the Services, as charged by your network service provider.
You may request technical assistance regarding the use of the Services.
Tutor Luna will provide reasonable technical support within the scope reasonably achievable for the relevant products and services but shall have no obligation to provide support beyond such reasonable scope.
Virtual assets provided through the Services:
Tutor Luna shall not be liable for any physical goods redeemed through virtual assets except where such liability results directly from Tutor Luna's fault.
The pricing, acquisition methods, quantity, validity period, redemption rules, and methods of use for virtual assets shall be governed by the rules published on the Platform or otherwise notified by Tutor Luna.
If Tutor Luna discontinues the virtual asset service or loses the legal qualification to operate such service, virtual assets purchased with cash may be refunded in accordance with applicable Platform rules.
Virtual assets obtained through promotional activities, gifts, rewards, or other non-cash methods shall not be refundable or compensable.
Paid courses, paid interactive videos, and similar digital educational services constitute digital products delivered over the internet.
Such products are provided under a payment-before-service model. The fees paid represent payment for digital services and do not constitute deposits, prepaid savings, or similar financial instruments.
You are entitled to 7-Day No-Reason Refund Guarantee for your purchase. .
If you request a refund after the expiration of the 7-day period for reasons attributable to youself, no refund shall be provided.
Where Tutor Luna is unable to provide the purchased services for reasons solely attributable to itself (including, without limitation, the discontinuation of courses or inability to deliver the services), Tutor Luna will refund the unused portion of the fees after deducting the value of services already rendered.
Access rights to purchased services are personal to you and may not be assigned, transferred, gifted, lent, or otherwise made available to any third party unless otherwise required by applicable law or expressly permitted by Tutor Luna.
You shall not use the Services to engage in, facilitate, or assist others in engaging in any of the following activities:
You shall not create, upload, reproduce, publish, transmit, or otherwise disseminate any content that:
You shall bear sole legal responsibility for all content you create, upload, publish, or distribute.
If your content causes Tutor Luna to suffer any losses, you shall indemnify Tutor Luna accordingly.
To comply with applicable laws, protect the rights of others, and maintain Platform security, Tutor Luna reserves the right to remove any content that violates this Agreement without prior notice.
Depending on the severity of the violation, Tutor Luna may suspend or terminate your account, revoke virtual assets, restrict your access to the Services, or impose other appropriate measures.
Platform operation logs and backend records may serve as evidence in any investigation, dispute, legal proceeding, or enforcement action relating to violations of law or this Agreement.
Any functionality provided by Tutor Luna for uploading, sharing, transmitting, or obtaining information is intended solely as a technical platform for user-generated content.
Content published by users does not represent the opinions, positions, or policies of Tutor Luna.
Tutor Luna assumes no responsibility for the authenticity, legality, or accuracy of any third-party content. You shall independently evaluate such content and bear all risks arising from its use.
Except as otherwise required by applicable law, Tutor Luna has no obligation to permanently store any content uploaded, published, or shared by you.
You are solely responsible for maintaining appropriate backups of your content.
Where required by law, Tutor Luna may monitor uploaded content.
Tutor Luna assumes no obligation to maintain confidentiality with respect to content that you have voluntarily made public.
For private content and personal information that has not been publicly disclosed, Tutor Luna will protect such information in accordance with applicable laws and will not disclose or use such information except:

You further warrant that such content does not infringe upon the lawful rights or interests of any third party.
You shall bear all legal responsibility arising from any breach of the foregoing warranties and shall indemnify Tutor Luna against any resulting losses.
Unless otherwise agreed by the parties, by publicly publishing, transmitting, or sharing content through the Platform, you grant Tutor Luna a perpetual, royalty-free, non-exclusive, revocable license within Mainland China solely for the purpose of providing the Services and maintaining normal Platform operations.
Such license includes the right to:
"Personal Information" refers to any information that, either alone or in combination with other information, identifies or is capable of identifying a specific natural person or reflects the activities of a specific natural person.
When you use the Services, Tutor Luna will collect, process, store, and protect your Personal Information in accordance with the Tutor Luna Privacy Policy and the Children's Personal Information Protection Policy (collectively, the "Privacy Policies").
You are encouraged to read the Privacy Policies carefully before using the Services.
If you do not agree to the Privacy Policies, certain features or functions of the Services may become unavailable or may not operate as intended.
By accessing or continuing to use the Services, you acknowledge that you have read, understood, and agreed to the Privacy Policies, including any future amendments thereto.
Tutor Luna places great importance on the protection of Personal Information.
We will process your Personal Information with reasonable care and in accordance with applicable laws, and we will implement appropriate technical, organizational, and security measures to protect your Personal Information against unauthorized access, disclosure, alteration, loss, or destruction.
Except as otherwise required by applicable law, Tutor Luna will not disclose your Personal Information to any company, organization, or individual outside the Tutor Luna group without your prior consent.
If you have any questions, concerns, requests, or complaints regarding the Privacy Policies or the processing of your Personal Information, you may contact Tutor Luna through the contact methods specified in the Privacy Policies.
You may withdraw your consent to the processing of your Personal Information by submitting a written request to Tutor Luna.
Withdrawal of consent shall not affect the lawfulness of any processing activities conducted prior to the effective withdrawal of such consent.
Tutor Luna is committed to protecting the lawful rights and interests of minors.
If you are under the age of majority, you must read this Agreement under the supervision of your legal guardian and obtain your guardian's consent before using the Services.
Legal guardians should guide minors in the safe and responsible use of the internet.
Tutor Luna does not encourage minors to make purchases through the Services.
Where a guardian permits a minor to use the Services, any purchases should be made in the guardian's name, and the guardian shall supervise and guide the minor's use of the Services.
Any use of the Services or exercise of rights and obligations under this Agreement by a minor shall be deemed to have been authorized by the minor's legal guardian.
Tutor Luna encourages minors to use the Services primarily for educational purposes.
Minors should distinguish between the virtual online environment and the real world and should avoid excessive use of online services that may adversely affect their studies, health, or daily lives.
A minor's use of the Services and performance of this Agreement shall constitute confirmation that the minor has obtained all necessary authorization from his or her legal guardian.
The legal guardian shall bear the corresponding legal responsibilities arising from the minor's use of the Services.
The provisions of this Section shall apply mutatis mutandis to adults who have reached the age of eighteen (18) but lack full civil capacity under applicable law.
Unless otherwise expressly stated, all content contained in or made available through the Services, including but not limited to:
software,
software names,
trademarks,
service marks,
trade names,
logos,
user interfaces,
text,
graphics,
images,
audio,
video,
animations,
designs and
other materials
are owned by Tutor Luna or its licensors and are protected by applicable intellectual property laws.
Except where you are the lawful rights holder, have obtained prior authorization, or where otherwise expressly permitted by law, you may not reproduce, modify, distribute, publicly display, create derivative works from, or otherwise use any such content without Tutor Luna's prior written consent.
Where downloading software is necessary to access the Services, Tutor Luna grants you a limited, revocable, non-exclusive, non-transferable license to install and use such software solely for your personal, non-commercial purposes.
To improve functionality, security, compatibility, and user experience, Tutor Luna may release software updates, upgrades, patches, or new versions from time to time.
You are encouraged to install and use the latest available version.
Except as expressly permitted by applicable law, you shall not
copy,
modify,
publish,
sell,
sublicense,
lease or
rent any software of Tutor Luna and should not
reverse engineer,
decompile,
disassemble, or
otherwise attempt to derive the source code of any software provided by Tutor Luna.
Nothing in this Agreement shall transfer ownership of any intellectual property rights to you.
All intellectual property rights not expressly granted under this Agreement are reserved by Tutor Luna.
For purposes of this Agreement, "Intellectual Property Rights" include all rights, title, and interests recognized under applicable laws, including but not limited to
patent rights,
copyrights,
trademark,
trade secret rights,
rights under unfair competition laws; and
any renewals, extensions, modifications, updates, or derivative rights relating thereto.
To the extent permitted by applicable law, Tutor Luna reserves the right to display commercial advertisements, sponsored content, promotional materials, or commercial information, including embedded advertising links, within any part of the Platform or the Services.
Advertisements may also appear alongside content uploaded, published, or shared by users.
Tutor Luna has the sole discretion to determine the format, placement, duration, frequency, and content of advertisements displayed through the Services, subject to applicable laws and regulations.
If you do not agree to receive advertisements through the Services, you may discontinue using the Services at any time.
The Services may contain links to third-party websites, applications, products, or services.
Although Tutor Luna will perform its legal obligations regarding advertisements as required by applicable law, Tutor Luna neither controls nor endorses any third-party websites or resources.
You acknowledge that you are solely responsible for evaluating the authenticity, legality, and reliability of any third-party content or advertisements.
Any disputes arising between you and any advertiser, merchant, or third-party service provider shall be resolved solely between you and the relevant third party.
Except where Tutor Luna is legally required to assume responsibility as an advertising publisher, Tutor Luna shall bear no liability for such disputes but may provide reasonable assistance where appropriate.
Nothing in this Agreement shall limit or exclude any rights that cannot lawfully be waived under applicable law.
Any exclusions or limitations of liability contained in this Agreement shall apply only to the maximum extent permitted by applicable law.
Except as otherwise expressly provided in this Agreement or required by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.
Tutor Luna makes no express or implied warranties regarding the Services, including but not limited to warranties relating to
quality,
reliability,
availability,
security,
uninterrupted operation,
accuracy; or
fitness for a particular purpose.
Notwithstanding the foregoing, Tutor Luna will use commercially reasonable efforts to continuously improve the quality of the Services.
To the fullest extent permitted by applicable law, Tutor Luna shall be liable only for direct damages expressly required by law.
Tutor Luna shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to
loss of profits,
loss of goodwill,
loss of business opportunities,
loss of data; or
interruption of business.
Tutor Luna shall likewise not be responsible for losses caused by unlawful acts of any third party.
Except where otherwise required by applicable law, Tutor Luna shall not be liable for any losses arising from:
If any claim, action, or proceeding is brought against Tutor Luna or any third party as a result of:
you agree to fully defend, indemnify, and hold harmless Tutor Luna and its affiliates against all losses, liabilities, damages, costs, and expenses arising therefrom.
Tutor Luna reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
To the extent permitted by applicable law, Tutor Luna's total liability arising out of or relating to the Services shall be limited to your actual direct losses caused by Tutor Luna's fault.
In any event, Tutor Luna's aggregate liability shall not exceed the total amount actually paid by you to Tutor Luna through the Platform during the twelve (12) months immediately preceding the event giving rise to the claim.
Tutor Luna shall not be liable for any losses resulting from:
To the extent permitted by applicable law, Tutor Luna reserves the right to modify, suspend, or permanently discontinue all or any part of the Services at any time to meet operational, technical, legal, or business requirements.
Where such modification or termination is reasonably expected to materially affect your normal use of the Services, Tutor Luna will provide at least ten (10) days' prior notice through platform announcements, in-app notifications, SMS messages, or other reasonable means, specifying:
Where your lawful rights and interests are adversely affected due to such changes, Tutor Luna will, upon your request and where required by applicable law, provide reasonable compensation based on your actual losses.
In addition to Section 10.1, Tutor Luna may suspend or terminate all or part of the Services immediately under any of the following circumstances:
hacker attacks,
telecommunications failures,
internet outages,
governmental actions,
virus outbreaks,
cyberattacks,
natural disasters, or
any other events beyond Tutor Luna's reasonable control.
Where the Services are terminated pursuant to Section 10.2:
Tutor Luna may provide notices relating to this Agreement or the Services through one or more of the following methods including

SMS messages;
In-app notifications;
Postal mail; or
any other reasonable communication method.
Unless otherwise required by applicable law, notices shall be deemed delivered as follows:
You are responsible for maintaining accurate and up-to-date contact information associated with your account, including your mobile phone number and email address.
If you fail to update your contact information in a timely manner, any notice sent to your last provided contact information shall be deemed effectively delivered.

Tutor Luna reserves the right to amend or update this Agreement from time to time.
Any amendments shall become part of this Agreement.
Where an amendment materially reduces your rights or materially increases your obligations, Tutor Luna will provide prior notice through platform announcements, pop-up notifications, in-app messages, or other reasonable means before the amendment becomes effective.
Your continued access to or use of the Services after the effective date of the amendment constitutes your acceptance of the revised Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, excluding its conflict of laws principles.
Any dispute arising out of or relating to this Agreement shall first be resolved through friendly consultation between the parties.
If the parties fail to reach a resolution through consultation, either party may submit the dispute to the People's Court with jurisdiction over the registered domicile of Wuhan Ace Education Technology Co., Ltd.
Section titles and headings in this Agreement are included solely for convenience and shall not affect the interpretation or construction of any provision of this Agreement.
If any provision of this Agreement is determined by a court or other competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by applicable law.
The invalid, illegal, or unenforceable provision shall be interpreted or replaced, where possible, in a manner that most closely reflects the original intent of the parties while remaining legally enforceable.
This Agreement constitutes the complete and entire agreement between you and Tutor Luna regarding your access to and use of the Services and supersedes all prior or contemporaneous oral or written understandings, representations, or agreements relating to the same subject matter, except where otherwise expressly provided by applicable law or by separate written agreements between the parties.
